Board of Directors

Xintec's Board of Directors consists of five to seven members including three independent directors. Their careers span a wide breadth of technology, business and management experience. The elected directors are executed duties in accordance with the relevant laws and the Articles of Incorporation, and safeguard the interests of the company and shareholders. They decide the company's business strategy and guidelines for careful assessment, strengthen the company's performance and protect shareholders' interests.

The election of Directors in the Company shall take the overall deployment of the Board of Directors into consideration. The Directors shall in general have the knowledge, skills and attainment required to exercise the duties, such as operation judgment ability, accounting and financial analysis ability, operation management ability, crisis management ability, industrial knowledge, outlook to international market, leadership and decision-making ability. The election of independent directors shall consider the qualifications such as honesty, pragmatic, impartial judgment, professional knowledge, rich experience and ability to review the financial statement.

The qualifications and election of the Independent Directors of the Company shall comply with the “Regulations Governing Appointment of Independent Directors and Compliance Matters for Public Listed Companies”, and follow Article 24 of the “Guidelines Governing the Corporate Governance of A Listed Company”. The election of Directors in the Company shall be subject to the candidate nomination mechanism prescribed in Article 192 of the Company Act.

The composition of the board of directors shall be determined by taking diversity into consideration. It is advisable that directors concurrently serving as company officers not exceed one-third of the total number of the board members, and that an appropriate policy on diversity based on the company's business operations, operating dynamics, and development needs be formulated and include, without being limited to, the following two general standards:

1. Basic requirements and values: Gender, age, nationality, and culture.

2. Professional knowledge and skills: A professional background (e.g., law, accounting, industry, finance, marketing, technology), professional skills, and industry experience Board of directors diversification goal is to have more than half of the independent directors and at least one female director.


Board Diversity Management Goals and Current Achievement

The members of the board of directors have already met the requirements for diversity. The company will consider the long-term development goals and the complementarity of directors' professions in the future continuously, or strengthen the training courses to meet the goal of diversification of board members.

Implementation of Diversity of Board Members

The board of directors is composed of six directors, four independent directors included. The board of directors is independent each other because the six directors do not have a relationship within the spouse or Second-class relatives. Mr. CH Chen, the chairman of the board of directors and the president of the company, also complies with the rule that the number of directors who concurrently serve as the manager of the company should not exceed one-third of the board members. One of the six directors is female director. Additionally, the board members possess cross-industry and cross-field capabilities, demonstrating Board diversity and complementary support among board members. Directors also have their own skills and experiences in various professions, such as law, financial accounting, industrial knowledge, operation management, professional skills and industrial experience.
